Management

VakıfBank is managed by the Board of Directors and the General Manager who is the ordinary and executive member of the Board of Directors. According to VakıfBank’s Articles of Incorporation, the Board of Directors consists of nine members, representing Groups (A), (B), (C) and Group (D) shares. Group (A) shareholders appoint four board members (one of which is appointed by the Prime Minister to represent the General Directorate of Foundations), Group (B) shareholders appoint one board member, Group (C) shareholders appoint two board members (to represent VakıfBank Pension Fund) and one board member for Group (D) is appointed by the General Assembly from among the candidates nominated by the shareholders; however, in nominating this candidate, choices of Group (D) shareholders are given priority. The board members are selected for three years and it is possible for them to be reselected.

Board of Directors and Statutory Auditors

İSMAİL ALPTEKİN - Chairman

Mr. Alptekin (born 1944) graduated from the Faculty of Law at İstanbul University in 1968. Mr. Alptekin began his career as a self-employed lawyer and later worked as an attorney at Türkiye Zirai Donatım Kurumu (Agricultural Equipment Agency of Turkey) and as an auditor at the Scientific and Technological Research Council of Turkey (TÜBİTAK). He served as a member of the Board for two terms (from 1975 to 1978 and from 1996 to 1997), as a Council Member of Ankara Metropolitan Municipality, as a member of Parliament, both as a representative for Bolu and Ankara, and as the Deputy Speaker of the Parliament. Mr. Alptekin was elected an independent member of the Board on April 6, 2009. At the General Assembly meeting of the Bank held on June 9, 2017, Mr. Alptekin was appointed as the Chairman of the Board.

SERDAR TUNÇBİLEK - Deputy Chairman

Mr. Tunçbilek graduated from Ankara University, Faculty of Political Sciences. He began his working life as an Auditor in T. Emlak Bankası A.Ş. in 1985. Following his position as an auditor for 4 years, he served as the Manager of Loan Marketing, Loan Monitoring and Securities and Branch Manager of Dusseldorf Financial Services for 11 years. He held the position of Secretary General in Egebank A.Ş. between 2000-2001. He was Vice Head of Department in BRSA between 2001-2005 and Group Coordinator and Acting Head of Department at SDIF between 2006-2007. Mr. Tunçbilek also held the positions of Board member, Supervisory Board member and Chairman in the companies under the body of SDIF between 2001-2007. Mr. Tunçbilek was elected as a Member of the Board of Directors’ of VakıfBank in 2007, he was a member of Credit Committee and Audit Committee for 5 years. He was also a Board member and Chairman of Vakıf Sistem Pazarlama, Vakıf Yatırım Menkul Değerler, Vakıf Menkul Kıymetler ve Vakıf Portföy A.Ş. between 2008-2014. He served as a Board member of Güneş Sigorta A.Ş. between 2014-2017. Mr. Tunçbilek was elected as the Deputy Chairman of VakıfBank at the General Assembly meeting, held on June 9, 2017. Mr. Tunçbilek is also Chairman of Corporate Governance Committee and member of Credit Committee

SABAHATTİN BİRDAL - Independent Board Member

Mr. Birdal, born in 1952, graduated from Istanbul University, Faculty of Economics, Department of Business Administration and Finance. He began his career as an assistant auditor in 1977 and served as auditor and branch manager at VakıfBank. Mr. Birdal also served as a manager at Faisal Finance Institution, a manager and executive vice president in Kuveyt Türk Evkaf Finance Institution. Between April 2004 and March 2008, he worked as Deputy Mayor of Uskudar. After having worked as a board member in VakıfBank from March 2008 to October 2010, Mr. Birdal began to serve as a board member on March 27th, 2010 in Halkbank and pursued to work as a board member from March 29th, 2014 onwards.He was elected as a board member in VakıfBank in the meeting of the Board of Directors held on April 31st, 2014. In addition, he is a member of the Bank’s Audit Committee.

MEHMET EMİN ÖZCAN - CEO

Mr. Özcan (born in 1960) graduated from Ankara University, Faculty of Political Sciences and Department of Economics in 1982. He began his career as an Assistant Auditor at İşbank in 1983. Following this, he held various managerial positions at Albaraka Türk Katılım Bankası. Between March 2003 and April 2005, he served as a Managing Board Member at Halkbank. During the same period, Mr. Özcan was a representative of the Bank in the IIF (Institute of International Finance) and a Board member of Demir-Halk Bank/Nedherlands, Halk Yatırım Menkul Değerler and Halk Finansal Kiralama. Between April 2005 and May 2010, he was a member of the Board of Directors of Ziraatbank; he also served as Chairman and member of the Board of Directors at various Ziraatbank subsidiaries (Kazakhstan Ziraat International Bank/ Almaty, Azer-Türk Bank/ Baku, Uzbek Turkish Bank/ Tashkent, Turk- Turkish Bank/ Ashgabat, Ziraatbank International AG/ Frankfurt, Ziraatbank Bosnia/ Sarayevo). Returning to Halkbank in May 2010, Mr. Özcan held the position of Deputy Chairman of the Board of Directors until March 29, 2013. At the same period, he was a Board member at Demir-Halkbank, Rotterdam. On March 29, 2013, he was elected as Deputy Chairman of VakıfBank and held the positions of Chairman at VakıfBank International AG- Vienna and Vakıf Yatırım A.Ş., Deputy Chairman of Vakıf GYO, Vakıf Leasing and Güneş Sigorta at the same time. Upon the decision of Turkish Republic of Northern Cyprus Cabinet, dated February 14, 2017, he was appointed as the Turkish Republic of Northern Cyprus Central Bank Governor and he resigned from his duty at VakıfBank. In accordance with VakıfBank law no.6219, Mr. Özcan was appointed as the CEO of VakıfBank by the Prime Minister on June 9, 2017. He is married with 3 children.

Dr. ADNAN ERTEM - Board Member

Dr. Ertem, born in 1965, graduated from Istanbul University, Faculty of Political Sciences, Department of Public Administration in 1987 and got his Ph.D. in Social Sciences in 1997. Starting his career as an Assistant Auditor at the General Directorate of Foundations in 1988, Dr. Ertem was appointed Auditor in 1991 and Chief Auditor in 2002. Between 2002 and 2007, he served as the Deputy Manager at the Regional Directorate of Foundations in Istanbul. Between 2007 and 2010, Dr. Ertem served as Deputy Undersecretary of the Turkish Prime Ministry and in October 2010 he was appointed General Manager of General Directorate of Foundations. On October 27th, 2010, he was appointed to VakıfBank’s Board of Directors and he is also a member of Remuneration Committee.

ŞAHİN UĞUR - Independent Board Member

Mr. Uğur completed his primary and secondary education in Erzurum. He graduated from Atatürk University, Faculty of Economics, and Business Administration Department in 1979. He began working at VakıfBank in 1984 and served as Assistant Manager, Manager and Head until 2004 and thereafter he held the position of Executive Vice President between 2004 and 2013. Following that, Mr. Uğur served as a Board Member at VakıfBank International AG Vienna, Güneş Sigorta A.Ş., Taksim Otelcilik, Atakule A.Ş., Vakıf Menkul Kıymetler A.Ş., Vakıf GYO A.Ş. which are subsidiaries of the Bank. He was elected as a Board Member of the Bank at the General Assembly meeting on June 9, 2017. Şahin Uğur is also a member Remuneration Committee.

DİLEK YÜKSEL – Board Member

Mrs. Dilek Yüksel was born in Niksar, Tokat in 1977. She graduated from Gazi University, Faculty of Economics and Administrative Sciences, Department of Economics. Mrs. Yüksel had an education on banking and economy from Banking Law and Research Institute at Ankara University. She worked as the Manager of Press and Public Relations Department in Samsun Atakum Municipality and the Chief of Mamak Municipality’s Culture Branch. She was elected as a Member of Parliament for the 23rd and 24th legislative terms from Tokat province. In 23rd legislative term of the Grand National Assembly of Turkey (GNAT), she was a member of the Committee on State Economic Enterprises. Mrs. Yüksel also served both as a member and the spokesperson of The Committee on National Defence and member of the Committee on Equal Opportunity for Woman and Man, Head of the sub-committee on Enhancement of Women's Employment in All Fields and Suggestions for Solution in the 24th legislative term. Moreover, she served as a Secretary Member of the Presidency Council of the GNAT for the 24th legislation term. Mrs. Yüksel has advanced knowledge of English. Mrs. Yüksel is married and has two children. She was appointed as a member of VakıfBank’s Board of Directors in the Ordinary General Assembly on March 29th, 2016 and she is also a member of the Bank’s Remuneration Committee and an alternate member of Credit Committee.

ÖMER ARISOY - Board Member

Mr. Arısoy graduated from Istanbul University, Faculty of Law in 1997. Beginning his working life as a lawyer, he continued as Zeytinburnu Municipality Chairman Counselor from 1999 onwards. He served as Chairman and Deputy Chairman in various sub-committees of Zeytinburnu Municipality between 2004 – 2014. Mr. Arısoy was appointed as the Head of Strategy Development Department of TOKİ (Housing Development Administration of Turkey) in 2014 and performed this duty for 2 years. Since 2016, Mr. Arısoy has been working as the Ministry of Culture and Tourism Undersecretary. He was elected as a Board member of VakıfBank at the General Assembly meeting, held on June 9, 2017. Ömer Arısoy is member of Corporate Governance Committee and alternate member of Credit Committee.

Yunus Arıncı-Member of the Audit Board

Yunus Arıncı graduated from Ankara University, Faculty of Political Sciences, Department of Public Administration. He began his professional career as Assistant Auditor at the Prime Ministry in 1997 and later completed his post graduate degree at Indiana University between 2007 and 2009. After serving as Auditor and Chief Auditor at the Prime Minister’s Office, he took office as Head of Audit Committee between October 14, 2009- July 13, 2015. Yunus Arıncı was appointed as Chairman of Presidential State Audit Committee on July 13, 2015, an office he continues to hold. He was appointed Member of the Audit Committee of T. Vakıflar Bankası T.A.O. on March 29, 2013.

HASAN TÜRE - Member of the Audit Board

Born in Kızılcahamam/Ankara in 1963, Mr. Türe graduated from Anadolu University, Business Management Department. He began his working life as an Intern Officer at VakıfBank in 1990. He served as the Manager of Vezirköprü Branch / Samsun, Kırşehir Branch, Manager and Board member of VakıfBank Private Pension Fund and also Board member at the subsidiaries of VakıfBank, respectively. Mr. Türe retired from VakıfBank as of February 28, 2014.

He still serves as a Board member of Yenimahalle/Ankara Social Assistance and Solidarity Foundation and also various civil society organizations operating in Ankara. Mr. Türe was elected as a member of the Audit Board at the General Assembly of VakıfBank held on June 9, 2017. He is married with 2 children.

Metin Recep Zafer

Operational Transactions, All IT Departments

Mr. Zafer graduated from Marmara University, Faculty of Economics and Administrative Sciences, Department of Economics and he also completed his post graduate and Ph. D. degrees in Marmara University. Mr. Zafer began his career in 1992 and served as assistant associate, auditor and branch manager at various banks. He was appointed as Executive Vice President at VakıfBank on June 13th, 2006.

Hasan Ecesoy

Treasury, International Banking and Investor Relations

Mr. Ecesoy, graduated from Uludag University, Faculty of Engineering, Department of Electronics Engineering and has a post-graduate degree from Istanbul Technical University, Department of Business Administration. Mr. Ecesoy also has a Ph. D. from Marmara University, Institute of Social Sciences, Department of Economics. He began his banking career in October 1993 at Ziraat Bank and subsequently, he worked in various banks prior to his appointment as Executive Vice President at VakıfBank in May 2010.

Osman Demren

Credit Risk Allocation

Mr. Demren graduated from Dokuz Eylul University, Faculty of Economics and Administrative Sciences, Department of Business Administration. He worked for Ministry of Finance as an account auditor, then he began to work at VakıfBank as an assistant auditor December 16th, 1996. After serving as branch manager and regional manager, Mr. Demren was appointed as Executive Vice President March 23th, 2011.

Muhammet Lütfü Çelebi

Retail Marketing

Mr. Çelebi graduated from Istanbul University, Faculty of Economics and Administrative Sciences, Department of Economics in 1992. He began his career as an assistant auditor at VakıfBank in 1995. After working as auditor between 1998 and 2001, he took the responsibilities of assistant manager and manager in various branches and departments of VakıfBank. Mr. Çelebi served as the Head of Retail Banking between 2011 and 2013. He was appointed as Executive Vice President on October 4th, 2013.

Mustafa Saydam

Support Services

Mr. Saydam graduated from Gazi University, Faculty of Economics and Administrative Sciences, Department of Business Administration in 1990. He began his career as assistant auditor at VakıfBank in 1993. After working as Auditor between 1996 and 1999, he took the responsibilities of assistant manager and manager in various branches and departments of VakıfBank. He served as the Head of Human Resources between 2005 and 2010 and Audit Board between 2010 and 2013. Mr. Saydam was appointed as Executive Vice President on October 7th, 2013.

Mehmet Emin Karaağaç

Legal Affairs and Credit Risk Liquidation

Mr. Karaağaç graduated from Istanbul University, Faculty of Law in 1989 and began his career as an attorney at Isbank in the same year. He served as Assistant Legal Counselor and Legal Counselor at various departments of Isbank until January 2nd, 2012. Mr. Karaağaç began to work as the Chief Legal Consultant at VakıfBank on January 3rd, 2012. He was appointed as Executive Vice President on October 25th, 2013.

Yakup Şimşek

Cooperate, Commercial and Investment Banking Marketing and Cash Management

Mr. Şimşek was born in Diyarbakır in 1970. He graduated from Ankara University, Faculty of Political Sciences, and Department of Business Administration in 1992. Mr. Şimşek began his banking career in VakıfBank as an Assistant Auditor in 1996 and served as the Manager of Istanbul Region Commercial Loans, Manager of Commercial Loans, Head of Audit Board, Manager of East Anatolian Regional Directorate and Southeast Anatolian Regional Directorate, and Head of Cash Management Department. He served as the General Manager and Board member of Vakıf Leasing and Board member of Vakıf Factoring and Centralized Credit Risk Bureau between 2006 - 2008. Mr. Şimsek was a Board member of Vakıf Portföy between March 2015 and August 2016. He was appointed as Executive Vice President on August 25th, 2016. Mr. Şimşek is married and has two children. He speaks English fluently.

Hüseyin Uğur Bilgin

Mr. Bilgin graduated from Anadolu University, Department of Business Administration. He started his career in VakıfBank in 1986 and worked as Manager in various branches. Subsequently, he worked as the Manager of Public Relations and the Head of Board of the Directors Affairs. He has been posting various Board membership role in different VakıfBank subsidiaries, currently at Taksim Otelcilik A.Ş. Mr. Bilgin was appointed as the Head of Human Resources in 2013 followed by the appointment as Executive Vice President on August 1, 2017. Hüseyin Uğur Bilgin was married with two children.

Şeyh Mehmet Boz

Mr. Boz, graduated from Çukurova University, Faculty of Economics and Administrative Sciences, Department of Economics and received his Master’s degree from the same Department. He started his banking career at VakıfBank as an Assistant Auditor in 1995. After working as the Assistant Manager and the Manager at İstanbul and Adapazarı branches for six years, he served in sequence as the Head of Department of General Accounting and Financial Transactions, Department of Retirement and Sanitary Affairs, Department of SME Banking and Department of Retail and SME Credit Risk. In 2015, he was appointed as İstanbul 1st Regional Director followed by the appointment as Executive Vice President on August 1, 2017. Mr. Boz was married with two children. He speaks English.

İlker Yeşil

Mr. Yeşil graduated from Ankara University, Faculty of Political Sciences, Department of Public Administration. After starting his banking career at VakıfBank as Assistant Auditor, he served as the Manager in various branches. Mr. Yeşil was appointed as Akdeniz and Çukurova Regional Director in 2010 and 2017, respectively. He was appointed as Executive Vice President on August 1, 2017. Mr. Yeşil was married with one child. Şuayyip İlbilgi

Mr. Şuayyip İlbilgi graduated from Gazi University, Faculty of Economics and Administrative Sciences, Department of Economics. He began to work as Assistant Associate at VakıfBank in 1996. After working as the Manager in various Head Office departments, Mr. İlbilgi was appointed as the Head of Treasury in 2010. He was appointed as Executive Vice President on August 1, 2017. Şuayyip İlbilgi was married with two children. He is fluent in English.

Ersin Özoğuz

After graduated from Dokuz Eylül University, Faculty of Economics and Administrative Sciences, Department of Public Finance, Mr. Özoğuz started his professional life in Ministry of Finance İzmir Revenue Office in 1993. He started his banking career at VakıfBank as Assistant Auditor in 1996 and then became Auditor in 1999. After serving as Manager in various branches and Regional Head Offices, since 2009, he was appointed in sequences as the Marmara Regional Director, the Head of Commercial Banking, the Head of the Cash Management and the Head of Internal Audit Board Department. He was appointed as Executive Vice President on August 1, 2017. Ersin Özoğuz was married with one child. He speaks English.
